Terms and Conditions

 

1. general

As far as not otherwise agreed between the contracting parties, our general terms and conditions are valid. Coopetition Med reserves the right to change these terms and conditions at any time. A different agreement can only be concluded in written form and singned by all parties. The contract is valid as soon as we have received the order.

2. delivery dates and deadlines

The delivery time depends on the agreements between the contacting parties or corresponds to the contractual definitions. Is there a delay in delivery due to events beyond our control and should this result into backlogs, a reasonable extension of the delivery period is agreed. This also applies if there comes to a delay at our supplier. Our customers will be informed about the beginning and end of such delays as soon as possible. Should there be a delay in delivery, which we are responsible for, our liability is excluded. We are entitled to carry out partial deliveries.

3. prices and payment

The contractual basis are those prices that were valid at the time of the conclusion of the contract according to our price list. Our prices are net prices excluding VAT and are subject to change. The invoices are payable within 30 days without deductions. Bills of Exchange and cheques are accepted only by special written agreement. We reserve the right to require a prepayment. Reminder fees can be charged to the customer.

4. shipping conditions

Shipping, packing and despatch are chosen at our discretion. We reserve the right to charge the postage to the customer for orders with a value of under €100, excl. VAT. Subsequent deliveries due to backlogs will not be charged.

5. complaints, warranty and liability

The General warranty conditions of our manufacturers apply. Returns due to quality defects will only be accepted if they are communicated us in written form within 7 days of receipt of the goods. The customer is obliged to document the complaints accurately and due to the legal standards. Should the goods have quality defects and the customer has informed us on time, the customer is entitled to return that part of the goods, which has quality defects, free of charge. Only goods in original packaging can be returned. Coopetition Med will replace the defective. Compensation for consequential damages is excluded.

6. retention of title

Until full payment, Coopetition Med remains the owner of the goods. The goods may be resold in the course of ordinary business under retention of title. Therefore the goods can’t be pledged. In case of seizure or other interventions of third parties the customer mst inform us immediately in writing. In such cases, the customer is no longer entitled to resell the goods in the ordinary course of business.

7. storage and resale

The customer is obliged to store and transport the goods in accordance with the statutory provisions. If not otherwise agreed in advance the goods may be resold only in original packaging

8. severability clause

If individual provisions of these terms and conditions should lose their effectiveness or be ineffective by new legislation, the provisions which are not affected shall remain unchanged. Instead of the invalid provision, a provision which comes closest to the ineffective one will be valid.

9. place of performance and jurisdication

For all deliveries and services Vienna is the place of performance. The only competent court for all litigations is the court in 1030 Vienna. The Austrian law shall apply.
